All you got to do is.
1.) in your console
cd to your wp installation.
chmod -R 777 your wp files.
2.) Deactivate role scoper or any other plugin staying in conflict with the update.
3.) Go to your dashboard of wordpress and auto update the whole thing.
4.) WPML woudnt update the db.
You would have to buy the product for about 50-70$ for a wp cms site.
Still running on old wpml plugin.
No conflicts yet with present wordpress 3.4.1.
5.) Dont forget to chmod your directories (chmod 755) and files (chmod 644) back.
Via console, you can do:
for files:
find -type f -exec chmod 644 {} \;
and for directories use:
find -type d -exec chmod 755 {} \; ”

Good luck and enjoy!
